Terms of Service

1. Who Can Use Recallstack

You must be legally able to enter into a contract and must follow the laws that apply to you. If you use Recallstack for a company, workspace, or other organisation, you confirm that you are allowed to accept these Terms for that organisation.

2. What Recallstack Does

Recallstack stores work memory, helps you find saved context, and lets connected tools answer questions using that context. OpenAI currently handles the AI work used by the live service.

Recallstack is operated by O'CLAN LIMITED (oclan.co).

3. Your Agreement With Us

Your agreement for using Recallstack is with O'CLAN LIMITED. O'CLAN LIMITED is the company responsible for providing and operating the service.

4. Your Account and Its Security

• You are responsible for activity under your account and API keys.
• Give us accurate account information and keep your sign-in details and API keys private.
• Team workspace admins are responsible for invitations, member permissions, and workspace security settings, including two-step verification rules.
• We may ask for extra security checks before allowing sensitive actions.
• Tell us promptly if you think someone has gained unauthorised access to your account, sign-in details, API keys, or workspace.

5. Your Content

• You keep the rights you already have in anything you submit to Recallstack.
• You give us permission to host, store, copy, send, process, adapt, and display your content worldwide. This permission is non-exclusive and limited to what we need to provide, secure, support, bill for, and improve Recallstack.
• You must have the rights and permissions needed to submit content to Recallstack.
• Your content must follow the law and must respect privacy, confidentiality, export rules, and other people's rights.
• Who can see team workspace content depends on workspace roles, project access settings, and product permissions.
• Recallstack manages the global project used by the system. It cannot be deleted through the project settings.

6. AI and Other Service Providers

• We use other companies to provide parts of Recallstack. These include OpenAI for AI features and Paystack for payments.
• We may add, change, or remove providers, AI models, features, and other services over time.
• AI answers can be incomplete, inaccurate, or unsuitable for what you need.
• Changes or problems at a provider, including outages, suspensions, reduced service, price changes, or policy changes, may affect Recallstack.

7. How You May Use Recallstack

You must not use Recallstack to:

• Break the law or violate another person's rights.
• Upload harmful software or try to access systems, accounts, or data without permission.
• Get around usage limits or security controls.
• Disrupt the service or make it less stable, secure, or available.
• Submit content you are not allowed to process, share, or analyse.
• Stalk, unlawfully monitor, harass, defraud, misuse credentials, or create profiles that violate someone's rights.
• Use the service in a way that could create legal or regulatory harm for us, our providers, or other users.

8. Checking AI Answers

• AI answers may contain mistakes or leave out important information.
• You are responsible for checking answers before using them for operational, legal, financial, or safety-critical decisions.
• Recallstack does not replace professional legal, medical, accounting, or security advice.

9. Plans, Payments, and Taxes

• The limits for free and paid plans are shown on our pricing page.
• Paystack processes paid subscriptions and checkout.
• Recallstack automatically enforces limits on saved memories, storage, projects, and request rates.
• If you reach a limit, Recallstack may stop new memories or other actions until the limit resets or you change your plan.
• When you cancel a subscription, it will usually stay active until the end of the current billing period, unless the law requires something else.
• Prices do not include taxes unless we say they do. You are responsible for any taxes, duties, charges, or withholding that apply.
• We may change prices, plans, limits, features, or packaging for future use.
• We may suspend, downgrade, or end paid access if an amount remains unpaid.

10. Suspending or Ending Access

• We may suspend, limit, or end access because of a security incident, failure to meet legal requirements, abuse, non-payment, or a serious breach of these Terms.
• We may take reasonable action to protect Recallstack, our providers, other users, or other people.
• We may change, limit, or stop any part of Recallstack, including features, AI models, integrations, pricing, and usage limits.
• Terms that still need to apply after access ends will continue to apply. These include payment duties, disclaimers, limits on liability, responsibility for claims, and dispute rules.

11. Beta and Preview Features

Some features may be marked beta, preview, early access, or experimental. They may be unfinished, change significantly, or be removed without notice. We do not make extra promises or guarantees about these features.

12. What We Can Guarantee

Recallstack is provided "as is" and "as available" as far as the law allows. This means we do not make promises or guarantees beyond those that the law requires. This includes implied guarantees about quality, suitability for a particular purpose, ownership, non-infringement, or uninterrupted use.

We cannot guarantee that Recallstack will always be available, error-free, completely secure, able to recover all data, compatible with every workflow, or that its answers will be accurate, complete, or suitable for your needs.

13. Claims Connected to Your Actions

If a claim against O'CLAN LIMITED, Recallstack, our related companies, or our staff is connected to your content, your use of Recallstack, your breach of these Terms or the law, or your violation of someone else's rights, you agree to defend us, compensate us, and protect us from legal responsibility. This covers claims, liabilities, damages, court decisions, awards, losses, costs, expenses, and reasonable legal fees.

14. Limits on Our Responsibility

As far as the law allows, O'CLAN LIMITED, Recallstack, and our related companies are not responsible for indirect, special, incidental, consequential, or punitive losses. This includes lost profits, lost data, lost goodwill, and business interruption connected to your use of Recallstack.

As far as the law allows, the most we will pay for all claims connected to Recallstack or these Terms is the greater of: the amount you paid us for Recallstack during the 12 months before the event that caused the claim, or NGN 1,000.

These limits do not apply where the law does not allow us to limit responsibility, including fraud, fraudulent statements, deliberate misconduct, or any other responsibility that cannot legally be limited.

15. Resolving Disputes

Please email us first at [email protected] so we can try to resolve the issue informally.

Unless the law does not allow it, disputes connected to Recallstack or these Terms will be decided through private, binding arbitration in Lagos State, Nigeria, in English, by one arbitrator. Either side may still ask a court for an order or another equitable (non-money) remedy to address misuse of intellectual property, confidential information, or unauthorised access.

You and O'CLAN LIMITED agree to bring claims only for yourselves. Neither side will take part as a claimant, class member, or representative in a class, collective, combined, or representative case. As far as the law allows, you also give up the right to a jury trial for a dispute that is allowed to go to court.

16. Time Limit for Claims

As far as the law allows, any claim connected to Recallstack or these Terms must be brought within one year of the event that caused it. After that, the claim is permanently barred.

17. Trade Restrictions and Sanctions

You must follow all export control, trade restriction, and sanctions laws that apply to you. You confirm that you are not based in, registered in, or normally living in a place where using Recallstack would be unlawful. You also confirm that you are not subject to sanctions or restrictions that prohibit your use of the service.

18. Laws That Apply

Nigerian law governs these Terms. Any consumer rights that must apply where you live will still apply.

Our Privacy Policy explains how we handle personal data and the rights available under laws such as Nigeria's Data Protection Act, the GDPR, and California's CCPA/CPRA.

19. Other Legal Terms

• These Terms and the Privacy Policy make up the full agreement between you and us for Recallstack, unless we have a separate written agreement.
• If a court or arbitrator cannot enforce one part of these Terms, the rest will continue to apply.
• If we do not enforce a term straight away, we can still enforce it later.
• You cannot transfer these Terms to someone else without our written permission. We may transfer them as part of financing, a merger, an acquisition, a reorganisation, or a sale of assets.
• We are not responsible for delays or failures caused by events beyond our reasonable control.

20. Changes to These Terms

We may update these Terms as Recallstack changes. We will publish the latest version here and show its effective date.
